These Terms and Conditions (the "Terms") govern your access to our website and the automated medical practice operations platform and services provided by NextDimension AI (the "Services").
The term "you," "your," or "User(s)" shall refer to any entity or person that accesses, views, uses our Services, and/or creates an account with us. The terms "we," "our," and "us" shall refer to NextDimension AI.
These Terms are important and affect your legal rights, so please read them carefully. Note that these Terms contain a mandatory arbitration provision that requires the use of arbitration on an individual basis and limits the remedies available to you in the event of certain disputes.
The Services are offered to you conditioned on your acceptance without modification of the Terms contained herein. Certain features, services, or tools may be subject to additional guidelines, terms, or rules, which will be posted with those features and are part of these Terms. Your use of the Services constitutes your agreement to all such Terms.
YOU ACKNOWLEDGE AND AGREE THAT, BY ACCESSING, USING, OR CREATING AN ACCOUNT ON THE SERVICES, OR CONSUMMATING A FINANCIAL TRANSACTION VIA THE SERVICES, YOU ARE AFFIRMING THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS, WHETHER OR NOT YOU HAVE REGISTERED WITH US. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICES.
Your use of the Services is subject to our Privacy Policy. Please review our Privacy Policy, which governs the Services and informs users of our data collection practices, including how we collect, use, and protect Protected Health Information (PHI) in compliance with HIPAA.

NextDimension AI does not provide Services to persons under the age of 18 as primary account holders. If you are under the age of 18, you may not create an account or use the Services as a primary user. While our platform may process information about minor patients as part of services to medical practices, this occurs only under appropriate HIPAA authorizations and parental consent.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to you.
In order to access and use the Services, you will need to create an account with us. By creating an account, you agree to: (i) provide accurate, current, and complete account information about yourself and your medical practice as necessary; (ii) maintain and promptly update your account information; (iii) maintain the security of your password and accept all risks of unauthorized access to your account and the information you provide to us; and (iv) immediately notify us if you discover or otherwise suspect any security breaches related to your account.
In creating an account, you represent that you are of legal age to form a binding contract, are authorized to enter into this agreement on behalf of your medical practice or organization, and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading.
By creating an account, you consent to receive electronic communications from us (e.g., via email, SMS, or by posting notices to the Services). These communications may include notices about your account (e.g., password changes, updates, and other transactional information), service updates, support responses, and billing information. These communications are part of your relationship with us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
If you use the Services, you are responsible for maintaining the confidentiality of your account credentials and password, for restricting access to your computer or mobile device, and you agree to accept responsibility for all activities that occur under your account. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that we are not responsible for third-party access to your account that results from theft or misappropriation of your account. We reserve the right to refuse or cancel service, terminate accounts, or remove or edit content if, in our opinion, you have failed to comply with any provisions of these Terms.
We shall use commercially reasonable efforts to ensure the availability of the Services, except that we shall not be liable for: (a) scheduled downtime for maintenance or upgrades; or (b) any unavailability caused directly or indirectly by circumstances beyond our reasonable control, including without limitation: (i) a force majeure event; (ii) internet service provider, web hosting, cloud computing platform, or public telecommunications network failures or delays, or denial of service attacks; (iii) a fault or failure of your computer systems or networks; (iv) failures or issues with third-party services including EHR systems; or (v) any breach of these Terms by you.
NextDimension AI functions as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). A separate Business Associate Agreement (BAA) will be executed between the parties, which shall govern the use and disclosure of Protected Health Information (PHI). In the event of any conflict between these Terms and the BAA, the BAA shall control with respect to PHI.
You acknowledge and agree that you remain solely responsible for: (a) all clinical decisions and medical care provided to patients; (b) compliance with all applicable healthcare laws, regulations, and professional standards; (c) obtaining necessary patient consents and authorizations; (d) the accuracy and completeness of all patient data provided to the Services; (e) appropriate supervision and monitoring of AI agent interactions; and (f) responding to patient needs identified through human escalation protocols.
Our Services utilize artificial intelligence and machine learning technologies to automate patient communications, workflow orchestration, and operational tasks. While we implement comprehensive safeguards including human oversight and escalation protocols, you acknowledge that AI systems may occasionally produce errors, unexpected results, or require human intervention. The Services are designed to assist and augment, not replace, human judgment and decision-making in healthcare settings.
We are responsible for implementing appropriate human oversight of AI-generated communications and recommendations. We ensure that qualified staff members are available to respond to escalations from our AI platform. High-risk, sensitive, or complex patient interactions will be escalated to human representatives according to our protocols, and in a timely manner.

All information and other content displayed on, transmitted through, or used in connection with the Services, including but not limited to text, graphics, logos, trademarks, images, software, AI models, algorithms, workflows, data, the selection and arrangement thereof, and the look and feel of the Services (collectively, the "Content") is the property of NextDimension AI and protected by copyright law and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such Content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the Content, in whole or in part. When Content is downloaded to your computer or mobile device, you do not obtain any ownership interest in such Content. Modification or use of the Content except as expressly provided in these Terms violates our intellectual property rights.
You retain all rights to your patient data and practice information ("Customer Data"). You grant us a limited, non-exclusive license to use Customer Data solely to provide the Services, improve our platform in accordance with our Privacy Policy and BAA, and for other purposes with your explicit consent. We will not use PHI for purposes outside the scope of our BAA without your authorization.
Any suggestions, feedback, ideas, or recommendations you provide regarding the Services ("Feedback") shall become our property, and we may use such Feedback without obligation or compensation to you for any purpose, including improving our Services, developing new features, or creating new products.
Each party agrees to maintain the confidentiality of the other party's Confidential Information and use it only for purposes of performing under these Terms. "Confidential Information" means all non-public information disclosed by one party to the other, including business plans, technical data, customer information, financial information, and any information marked as confidential. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully known prior to disclosure; (c) is rightfully received from a third party without breach of confidentiality obligations; or (d) is independently developed without use of the other party's Confidential Information.
We warrant that the Services will perform substantially in accordance with our documentation under normal use. Your sole remedy for breach of this warranty is for us to use commercially reasonable efforts to correct the non-conformity or, if we cannot do so within a reasonable time, to terminate your account and refund prepaid fees for the unused portion of your subscription term.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT AI AGENTS WILL PERFORM WITHOUT ERRORS. WE MAKE NO WARRANTIES REGARDING THE RESULTS OF USING THE SERVICES OR THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
IN NO EVENT SHALL NEXTDIMENSION AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PATIENT INJURY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless NextDimension AI and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or professional standard; (d) medical malpractice or other professional liability claims related to patient care; (e) any claim that your data or content violates any third-party rights; (f) unauthorized access to your account resulting from your failure to maintain account security; or (g) your failure to respond appropriately to escalations from our AI platform.
